Effective Date: These Partner Referral Program Terms (“Referral Terms”) govern your participation in the Sun Locke Partner Referral Program (the “Program”). By applying to, joining, or participating in the Program, you agree to these Referral Terms:
These Partner Referral Program Terms (“Referral Terms”) govern your engagement with Sun Locke Media L.L.C. (“Sun Locke,” “we,” or “us”) for participation in our partner referral and commission program administered through a third-party platform (the “Program”). By agreeing to our general
Terms and Conditions, applying to the Program, using a referral link, or otherwise participating as a Partner, you (“Partner” or “you”) accept and are bound by these Referral Terms.
1. Definitions
1.1“Partner” means the individual or entity approved to participate in the Program.
1.2 “Program Platform” means the third-party tracking platform used to administer the Program (currently Rewardful, unless replaced).
1.3“Partner Dashboard” means the Partner portal that displays referral activity, attribution, commissions, and payout status.
1.4“Referral Link” means the unique tracking link issued to Partner through the Program Platform.
1.5 “Referred Customer” means the person or entity that clicks the Referral Link and purchases an Eligible Offer.
1.6“Eligible Offer” means any subscription, retainer, plan, product, or service that Sun Locke designates as commission-eligible for a given campaign at the time of purchase.
1.7 “Non-Eligible Offer” means any offer Sun Locke designates as not eligible for commission for a given campaign at the time of purchase.
1.8“Qualified Referral” means a referral that is attributed to Partner in the Partner Dashboard and results in a valid purchase that is not cancelled, refunded, charged back, disputed, or reversed.
1.9“Commission” means the amount payable to Partner for a Qualified Referral under the applicable campaign rules.
1.10“Cookie Window” means the tracking period after a Referred Customer clicks the Referral Link during which attribution may be credited to Partner.
1.11 “Due Period” means the waiting period before a Commission becomes due and eligible for payout.
2. Enrollment and Approval
2.1 Partner Access.If approved, Partner will receive access to a Referral Link and a Partner Dashboard through the Program Platform.
2.2 No Guarantee.We do not guarantee that Partner will earn Commission or that any referral will result in a purchase.
3. Eligible Offers and Campaign Rules
3.1 Campaign-Based Eligibility.Eligible Offers, Non-Eligible Offers, Cookie Windows, attribution logic, Commission structure, Commission limits, Due Periods, payout schedules, and thresholds may vary by campaign.
3.2 Common Non-Eligible Offers.
Unless explicitly designated as eligible in a campaign, the following are not eligible for Commission:
3.3 Final Determination.Sun Locke may determine, in our reasonable discretion, whether a referral is a Qualified Referral, including for suspected fraud, duplicate claims, or technical anomalies.
4. Commission Structure
Commission amounts are determined by the campaign rules for the applicable Eligible Offer.
4.1 Commission Types.Commissions may be structured as a percentage, flat amount, tiered amount, one-time payment, recurring payment, per-invoice payment, or another structure, as designated by Sun Locke for the campaign.
4.2 Commission Rates and Changes.Commission rates and structures are set per campaign and may be changed by Sun Locke at our discretion. Changes apply prospectively and may apply to new referrals, new campaigns, or future transactions, as determined by Sun Locke.
4.3 Commission Limits.Commissions may be limited by time, number of payments, number of invoices, maximum total amount, or other limits set by campaign.
5. Tracking, Cookie Window, and Attribution
The Program Platform is used to track referrals and determine attribution.
5.1 Tracking Record Controls.Attribution and tracking are determined by the Program Platform’s records and the applicable campaign settings.
5.2 Cookie Window.The Cookie Window is the period after a click where a signup may be attributed to Partner. Cookie Window length may vary by campaign. The applicable Cookie Window is the one in effect at the time of the Referred Customer’s click.
5.3 Attribution Logic.Attribution may be based on first click, last click, or other attribution logic supported by the Program Platform and configured per campaign.
5.4 Technical Factors.Tracking may be affected by factors outside our control, including browser settings, ad blockers, privacy tools, cookie deletion, device switching, or network conditions. We are not responsible for attribution loss caused by these factors, but may review claims at our discretion.
6. Due Period, Payouts, and Thresholds
6.1 Due Period.Commissions may become due only after a Due Period has passed. The Due Period may vary by campaign and may be updated by Sun Locke.
6.2 Payout Schedule.Payouts are issued on a schedule determined by Sun Locke (for example, monthly), provided Commissions are due, payable, and not subject to hold.
6.3 Minimum Payout Threshold.Sun Locke may require a minimum payout threshold before issuing payment. If used, the threshold may be displayed in the Partner Dashboard or campaign description.
6.4 Holds, Reversals, and Offsets.We may hold, reverse, offset future Commissions, or require repayment if a purchase is refunded, disputed, charged back, reversed, or suspected to be fraudulent or in violation of these Referral Terms.
6.5 Payment Method.Payouts are issued through the payout method(s) enabled for the Program including Wise (or any successor provider). Partner must provide accurate payout details and complete any verification required by the payout provider. We are not responsible for payout delays caused by incorrect Partner information, incomplete verification, or restrictions imposed by the payout provider.
6.6 Payout Processing and Platform Role.The Program Platform is used to track referrals, calculate commissions, and support payout workflows. Sun Locke is responsible for issuing payouts through the enabled payout method(s). If a payout fails or is reversed for any reason, we may reissue payment after verification or offset the amount against future commissions.
7. Partner Conduct and Marketing Rules
7.1 No Spam or Deceptive Outreach.Partner may not use unsolicited bulk messaging, automated spam outreach, misleading claims, or deceptive practices.
7.2 No Misrepresentation.Partner may not make guarantees about results, pricing, timelines, or outcomes on behalf of Sun Locke.
7.3 Prohibited Trademark Bidding and Impersonation.Partner may not bid on Sun Locke trademarks or impersonate Sun Locke without written permission.
7.4 Brand Use.If Sun Locke provides brand assets, Partner may use them only as authorized and must follow brand guidelines.
8. Independent Relationship
Partner is an independent contractor and not an employee, agent, partner, or representative of Sun Locke. Partner has no authority to bind Sun Locke.
9. Taxes
Partner is responsible for all taxes and reporting obligations related to Commission income.
10. Suspension and Termination
Sun Locke may suspend or terminate Partner participation at any time.
10.1 Effect of Termination.Upon termination, Partner is no longer eligible to earn new Commissions. Pending Commissions may be forfeited if related to fraud, disputes, chargebacks, reversals, or violations.
11. Updates to These Referral Terms
We may update these Referral Terms at any time by posting an updated version. Continued participation after an update constitutes acceptance.
